Terms and Conditions of Service

Welcome to Estate Reserve. By accessing, downloading, or using the Estate Reserve global network, web applications, mobile applications, or associated services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

1. Acceptance of Terms

By creating an account, reserving a property, or otherwise using the Platform, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into these Terms. These Terms govern your access to and use of all Estate Reserve services, APIs, and data ledgers.

2. Network Usage and Restrictions

The Platform provides an interface to access the Estate Reserve real estate ledger, facilitating property discovery, secure token reservations, and communication. You agree NOT to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose.
• Attempt to hack, destabilize, scrape, or reverse engineer the Platform's API or infrastructure.
• Submit false, misleading, or deceptive information during registration or property listing.
• Harass, intimidate, or defraud other users, agents, or property owners.

Violation of these restrictions will result in immediate account termination and potential legal action.

3. Reservations, Tokens, and Payments

Reservation tokens paid via our platform secure a temporary hold on the specified real estate asset. All financial transactions are processed by third-party payment gateways.

• Non-Binding: A reservation token is not a legally binding contract to purchase or lease; it is a temporary hold subject to final approval by the property owner.
• Refunds: Tokens are subject to a strict 48-hour refund policy. After 48 hours, reservation tokens become non-refundable unless expressly agreed upon in writing by the property owner.
• Taxes and Fees: Users are solely responsible for any applicable taxes, international transaction fees, or currency conversion rates.

4. Disclaimers and No Warranties

THE PLATFORM AND ALL CONTENT, LISTINGS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ESTATE RESERVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or reliability of any property listing. We are not a real estate broker, agent, or property management company. Estate Reserve acts solely as a technological intermediary connecting users.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTATE RESERVE, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• Your use or inability to use the Platform.
• Any property damage, personal injury, or financial loss resulting from interactions with other users or properties found on the Platform.
• Unauthorized access to or alteration of your secure data.

In no event shall Estate Reserve's aggregate liability exceed the total amount you have paid to Estate Reserve in the past six (6) months, or $100 USD, whichever is greater.

6. Indemnification

You agree to indemnify, defend, and hold harmless Estate Reserve, its affiliates, and their respective officers and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Platform, or your violation of any third-party rights.

7. User-Generated Content

By uploading images, descriptions, or reviews ("Content") to the Platform, you grant Estate Reserve a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that Content. You warrant that you own or have the necessary rights to all Content you provide.

8. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Estate Reserve's primary corporate entity is registered, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration, rather than in court.

9. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes via email or an in-app alert. Your continued use of the Platform after such modifications constitutes your binding acceptance of the new Terms.
